You'd only use it if you're SOL if a game is Vista-only. That's about it. You are pretty much stuck spending a premium if you like to upgrade more than once in a three year period.
Driver Certification is crap, and you are forced to use certified drivers for the 64-bit editions - if you want to test a beta video driver, then you need to disable driver certification at boot - the funny thing is you don't need to do this for the 32-bit versions. Awesome Security Improvment eh?
